1Acceptance of Terms
By downloading, installing, evaluating, or activating the Papryx Desktop application, or by accessing the Papryx website, you agree to be bound by these Terms of Service and End-User License Agreement. If you do not agree with any part of these terms, you must not install or use the software.
2Software License Grant & Closed Beta Evaluation
Subject to these terms, Papryx grants you a revocable, non-exclusive, non-transferable, limited license to install and run the executable binaries of Papryx Desktop on compatible Windows (64-bit) or macOS devices.
- Closed Beta License: Users accepted into the Closed Beta program are granted a complimentary 90-day Pro evaluation license key for testing, validation, and professional feedback.
- Single-Seat / Multi-Device Policy: Each license key is bound to the registered user and authorized device limit. Software transfer between machines must follow standard deactivation procedures.
- Commercial & Professional Use: You are permitted to process internal business records, client tax audits, legal contracts, and financial statements locally on your licensed workstation.
- macOS Beta Release: macOS builds (Apple Silicon arm64 & Intel x64) are currently distributed for beta evaluation via direct download; Apple Developer ID signing and Apple Notarization are scheduled for the commercial general availability release.
3Intellectual Property & Document Custody
You retain all intellectual property rights and sovereign ownership over all documents, scans, fonts, tables, and images you open or create with Papryx Desktop. Because the software runs strictly on-device, Papryx has no access to your documents and cannot monitor, copy, or distribute your intellectual property.
4Restrictions & Prohibited Uses
You agree not to engage in any of the following restricted activities:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the desktop software binaries, except to the extent permitted by applicable law.
- Bypass, modify, tamper with, or circumvent digital license verification controls, hardware identifier hashing, or safeStorage encryption.
- Sublicense, rent, lease, resell, distribute, or host the software as a multi-tenant cloud service without explicit written permission from Papryx.
- Use the software for fraudulent document forgery or any unlawful purpose in violation of local or international laws.
5Disclaimer of Warranties & Beta Provision
Papryx Desktop and all associated tools are provided on an "AS IS" and "AS AVAILABLE" basis. While engineered for maximum typographic accuracy, precision table extraction, and system stability, Papryx does not warrant that the software will be completely error-free or uninterrupted. Users are advised to maintain backups of essential original documents prior to irreversible destructive operations (such as permanent redaction or page deletion).
6Limitation of Liability
To the maximum extent permitted by law, Papryx, its founders, and contributors shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages—including but not limited to loss of data, business interruption, or loss of profits—arising out of the use or inability to use the software.
7Governing Law & Inquiries
